Terms of Service

These terms govern your use of ModernDataRoom’s websites, applications and services (the “Service”). By creating an account, accepting an invitation or using the Service, you agree to them. If you use the Service for an organization, you accept these terms for that organization and confirm you may do so.

1. Accounts

You must give accurate information, keep your sign-in secure and tell us promptly about any unauthorized use. You are responsible for activity in your workspace, including by people you invite. Workspace owners and administrators control who has access.

2. Your content

You keep all rights to the content you and your team add to the Service (“Customer Content”). You give us a limited licence to host, process, display and transmit it only to provide the Service to you and the people you share it with. You are responsible for having the rights to your Customer Content and for choosing whom to share it with.

3. Acceptable use

You will not:

• break the law, infringe others’ rights, or share content you may not share;
• upload malware or attempt to access accounts, rooms or data that are not yours;
• probe, overload or disrupt the Service, or bypass its security or usage limits;
• use the Service to send spam or to mislead recipients about who you are;
• resell the Service except as we agree in writing.

4. AI features

The Service includes AI features that answer questions, draft content, and prepare audio and video. AI output can be incomplete or wrong. You are responsible for reviewing it before you rely on it or share it. Actions that send, publish, change settings or spend money run only after an authorized person in your workspace approves them.

5. Voice cloning

You may create a voice clone only of a person who has personally given their recorded consent through the Service, and only for the purposes they agreed to. Withdrawn consent ends use of the clone. AI voices are disclosed to listeners and the disclosure may not be removed.

6. Third-party services

The Service can connect to third-party services you choose, such as Google Workspace, a CRM or accounting software. Your use of them is governed by their terms. We access them only as you authorize and are not responsible for their availability or content.

7. Plans, fees and billing

Paid plans are billed in advance through our payment processor, Stripe, and renew automatically until cancelled. You can change or cancel your plan in the billing portal; a cancellation takes effect at the end of the current billing period. Fees are exclusive of taxes. Usage beyond a plan’s limits may require an upgrade. Except where the law requires otherwise, fees already paid are not refundable.

8. Confidentiality and security

We treat Customer Content as confidential and protect it with reasonable technical and organizational measures, as described in our Privacy Policy.

9. Our property

The Service, its software and its branding belong to ModernDataRoom and its licensors. Feedback you give may be used to improve the Service without obligation to you.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or end access for a material breach of these terms, non-payment, or to prevent harm, with notice where reasonable. After termination you may export your Customer Content for 30 days, after which we may delete it.

11. Disclaimers

The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. The Service does not give legal, financial or investment advice.

12. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data, and each party’s total liability under these terms is limited to the fees paid for the Service in the twelve months before the claim.

13. Indemnity

You will defend and indemnify ModernDataRoom against third-party claims arising from your Customer Content or your breach of these terms.

14. Changes

We may update these terms. We will post the new version here with its date and, for material changes, notify account holders before they take effect. Continued use after that means you accept the updated terms.

15. General

These terms are the entire agreement about the Service unless you have a signed agreement with us, which then prevails. If a provision is unenforceable, the rest remains in effect. Governing law and venue: to be confirmed.
